Master Services Agreement

1. General Terms

Jurisdiction: This Agreement shall be governed by the laws of the Republic of South Africa.

Payment Terms: All payments are Cash on Delivery (COD) unless otherwise agreed in writing.

Service Escalation: All services are subject to an annual escalation of 15% unless otherwise negotiated in writing.

Service Suspension: Services will be suspended if payments are not made in accordance with the agreed payment terms.

Contract Renewal: All services are provided on an evergreen basis. This means that at the end of the initial contract period, the contract will automatically renew for a further 12 months unless either party provides a calendar month’s notice of termination. Renewal will occur under the same terms and conditions unless renegotiated prior to renewal. DBS Technology will notify clients of upcoming renewals at least 30 days before the renewal date to allow for any necessary discussions or adjustments.

Termination: Either party may terminate this Agreement by providing a calendar month’s notice prior to the expiry of the current term. For the purposes of this Agreement, a calendar month is defined as the period from the 30th of one month to the 30th of the following month. Notice of cancellation must be received before the 1st day of the month in which termination is intended to take effect. Early termination is permitted if the service can be migrated without impact to DBS Technology and there is a breakdown in the working relationship.

Liability & Indemnity: DBS Technology shall not be held liable for any loss of data resulting from negligence on the part of the Client.

POPI Compliance: DBS Technology adheres to the Protection of Personal Information Act (POPIA). All personal data collected from clients is handled in accordance with POPIA regulations. DBS Technology ensures that client data is stored securely and is not shared with any third party without the explicit consent of the client, except where required by law.

Confidentiality: DBS Technology is POPI compliant and will not disclose any client data to third parties without consent.

2.1 IT SLA

Initial Term: 12 months

Scope: Provision of it sla services.

2.2 Cloud Hosting

Initial Term: 12 months

Scope: Provision of cloud hosting services.

2.3 Microsoft 365

Initial Term: 12 months

Scope: Provision of microsoft 365 services.

2.4 ISP Services

Initial Term: 36 months

Scope: Provision of isp services services.

2.5 GSM Services

Initial Term: 24 months

Scope: Provision of gsm services services.

2.6 Web SLA

Initial Term: 12 months

Scope: Provision of web sla services.

2.7 Domain Hosting

Initial Term: 12 months

Scope: Provision of domain hosting services.

2.8 VOIP Hosting

Initial Term: 12 months

Scope: Provision of voip hosting services.

2.9 VOIP Services

Initial Term: 12 months

Scope: Provision of voip services services.

2.10 Firewall Services

Initial Term: 12 months

Scope: Provision of firewall services services.

2.11 VOIP SLA

Initial Term: 12 months

Scope: Service Level Agreement for VOIP systems, covering uptime, support response times, and maintenance.

2.12 LAN Service and Support

Initial Term: 12 months

Scope: Support and maintenance for Local Area Network infrastructure including switches, cabling, and connectivity.

2.13 Microsoft USER Management SLA

Initial Term: 12 months

Scope: Service Level Agreement for managing Microsoft 365 user accounts, permissions, and access control.

2.14 Project and Implementation Services

Initial Term: 12 months

Scope: Planning, execution, and delivery of IT projects including hardware and software implementations.

3. Acceptance

By accepting a quotation or invoice referencing this Agreement, the Client agrees to the terms herein. This Agreement shall be deemed accepted upon the commencement of services or payment of any related invoice.
